Terms of Service

Effective: 25 April 2026
Jurisdiction: England & Wales

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you") and UNIPIA Ltd ("UNIPIA", "we", "us", "our"), a company registered in England and Wales. By creating an account, accessing, or otherwise using the UNIPIA Community application, related websites, or any associated services (collectively, the "Service"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

1. Eligibility

1.1 You must be at least 18 years of age and an active student, alumnus, or staff member of a recognised UK higher education institution to access verified features.

1.2 You confirm that all information you provide during registration is accurate, current, and complete, and that you will keep it updated.

1.3 We reserve the right to refuse, suspend, or terminate registration for any reason at our sole discretion.

2. Account Security

2.1 You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

2.2 You agree to notify us immediately of any unauthorised use of your account at info@unipia.business.

2.3 We are not liable for any loss or damage resulting from your failure to comply with this section.

3. Acceptable Use

3.1 You agree NOT to:

  • post, transmit, or share content that is unlawful, defamatory, obscene, threatening, harassing, hateful, discriminatory, or otherwise objectionable;
  • impersonate any person or misrepresent your affiliation with any institution;
  • collect, harvest, or store personal data of other users without their consent;
  • use automated systems (bots, scrapers) to access the Service;
  • reverse engineer, decompile, or attempt to extract source code from the Service;
  • interfere with or disrupt the integrity, security, or performance of the Service;
  • use the Service to advertise, promote, or solicit goods or services without our prior written consent;
  • circumvent any access restrictions, rate limits, or content filters;
  • use the Service in any way that violates applicable laws or regulations.

3.2 We reserve the absolute right to remove content and suspend or terminate accounts that, in our sole judgement, breach these Terms, without prior notice and without liability.

4. User Content & Licence Grant

4.1 You retain all ownership rights in the content you create and post on the Service ("User Content").

4.2 By posting User Content, you grant UNIPIA a worldwide, non-exclusive, royalty-free, sublicensable, perpetual, and irrevocable licence to host, store, reproduce, modify, distribute, publicly display, and perform such User Content for the purpose of operating, promoting, and improving the Service.

4.3 You represent and warrant that you have all rights necessary to grant this licence and that your User Content does not infringe any third-party rights.

4.4 You waive any moral rights in your User Content to the extent permitted by law.

5. Intellectual Property

5.1 All rights, title, and interest in the Service (excluding User Content), including all software, designs, trademarks, logos, and content provided by us, remain the exclusive property of UNIPIA or its licensors.

5.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes in accordance with these Terms.

6. In-App Purchases & Virtual Items

6.1 The Service may offer virtual items (e.g. chat sessions, premium features) for purchase via Google Play or Apple App Store ("Platforms").

6.2 All purchases are processed by the Platforms and are subject to their respective terms and conditions.

6.3 Virtual items have no monetary value, are non-transferable, and are non-refundable except as required by applicable law or Platform policies.

6.4 We reserve the right to modify, suspend, or discontinue any virtual item at any time without compensation.

7. Advertising

7.1 The Service may display advertisements provided by third-party networks (e.g. Google AdMob).

7.2 We are not responsible for the content of third-party advertisements or the products and services they promote.

8. Termination

8.1 We may suspend or terminate your account, with or without notice, at our sole discretion for any reason, including but not limited to a breach of these Terms.

8.2 You may delete your account at any time via your profile settings. Deletion is irreversible.

8.3 Upon termination, your licence to use the Service ends immediately. Sections 4.2, 5, 9, 10, 11, and 14 survive termination.

9. Disclaimers

9.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components.

9.3 We are not responsible for the accuracy, reliability, or quality of any User Content or third-party content.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, UNIPIA, its directors, employees, and affiliates shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses arising from or relating to your use of the Service.

10.2 Liability Cap: Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of (a) GBP 50, or (b) the total amount you have paid to us in the 12 months preceding the claim.

10.3 Nothing in these Terms excludes or limits our liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

11. Indemnification

You agree to indemnify, defend, and hold harmless UNIPIA and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your breach of these Terms.

12. Modifications to the Service and Terms

12.1 We may modify, suspend, or discontinue any part of the Service at any time without notice or liability.

12.2 We may revise these Terms from time to time. The updated version will be posted within the app with a new "Effective Date". Continued use after changes constitutes acceptance of the revised Terms.

13. Third-Party Services

The Service may contain links to or integrate with third-party services (e.g. Google, Apple, Firebase). We do not control and are not responsible for such services. Your use of them is governed by their terms and policies.

14. Governing Law & Jurisdiction

14.1 These Terms and any dispute arising from them are governed by the laws of England and Wales.

14.2 You agree that the courts of England and Wales shall have exclusive jurisdiction over any dispute, except where prohibited by your local consumer protection laws.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and UNIPIA regarding the Service.
